Yes. Foreign ownership does not normally create a separate permission to sell. The transfer of ownership must be completed in a Polish notarial deed. Before marketing, confirm the title, all owners and consents, any mortgage-release procedure, the energy certificate, remote-signing formalities and the seller’s Polish and home-country tax position.

A foreign owner can sell a Warsaw apartment, house or share in property, but a smooth sale depends on work completed before the first viewing. The strongest file connects the physical property to the title, identifies every person who must sign, explains any mortgage, and maps payment and tax steps for a seller who may live abroad.

The Ministry permit system for foreigners concerns acquisition. It does not normally impose a separate seller permit simply because the registered owner is foreign. The buyer’s citizenship and the exact property category can still affect the closing, so the notary should review the intended transaction early.

01 · Valuation

Price the real property, not the memory of it.

The asking price should reflect today’s micro-market, title, condition and buyer alternatives—not only the amount invested years ago.

Begin with comparable properties that are genuinely comparable: the same district and micro-location, similar legal title, building age, floor, lift, light, outlook, condition, service charges and parking or storage rights. Asking prices are evidence of competition; completed transactions and qualified buyer feedback are better evidence of achievable value.

Define the likely buyer profile, competing listings and a realistic launch range before photography and copy are commissioned.

Sale readiness

Separate improvements that support presentation from expensive work that a buyer may prefer to design independently.

02 · Documents

Build the closing file before buyers ask for it.

The exact list comes from the title and the notary. A practical starting file normally includes:

  • passport or identity documents and current contact details for every owner
  • the acquisition deed, inheritance documents or other legal basis of ownership
  • the land-register number and documents explaining any mismatch or pending entry
  • marital-status and co-owner information, including required consents
  • information on appurtenant rooms, parking, storage and shares in common property
  • administrator or community information, service charges and known arrears
  • an energy performance certificate where the statutory duty applies
  • mortgage-bank documents if Section IV of the land register contains a mortgage
  • a power of attorney, apostille or legalisation and sworn translation where relevant

For a sale of a building or apartment, the seller generally hands the relevant energy performance certificate to the buyer. The notarial deed records delivery; if it is not delivered, the notary warns the obligated party about the fine provided by law.

04 · Viewings and offers

Compare the offer behind the number.

Price matters, but closing certainty also depends on financing, timing, conditions and the buyer’s document readiness.

Record each offer in the same structure. Confirm the offered price, source of funds or mortgage dependency, desired signing date, deposit proposal, conditions, handover date and items included in the sale.

Deposit language matters

Polish agreements distinguish concepts such as zadatek and an advance payment. Their effects are not interchangeable. Have the chosen wording and consequences checked before signing or accepting money.

05 · Mortgage

A mortgage changes the payment route, not the possibility of sale.

The bank’s numbers and release process must be aligned with the buyer, notary and signing date.

Ask the lender for the documents required by the notary and buyer: the current amount needed for repayment, the repayment account, the document or commitment covering consent to delete the mortgage after repayment, and any validity period or bank conditions.

The deed can direct part of the price to the lender and the balance to the seller, but the exact mechanism must match the bank’s letter and the agreed payment security. Leave enough time to update figures if interest or fees change before signing.

Before accepting a date

Confirm how long the bank needs to issue the statement, whether the document is accepted electronically or in original form, and who will file or obtain the mortgage-deletion consent after repayment.

06 · Remote sale

You may not need to fly to Warsaw for the deed.

A correctly prepared power of attorney can allow a representative to complete the sale, but the wording and formalities must be agreed before it is signed abroad.

Because a property sale requires a notarial deed, the authority to perform that act must be granted in the corresponding form. A document executed abroad may also need an apostille or legalisation and a sworn Polish translation, depending on the country, treaty route and notary’s requirements.

Property, minimum or exact price, agreement type, payment, handover, bank repayment, declarations and land-register applications.

Confirm the foreign notarial form, apostille or legalisation, original-document delivery and translation before the appointment abroad.

Do not sign a generic template first and ask the Polish notary later. A missing power can delay the transaction after a buyer has already arranged financing and travel.

07 · Notarial closing

The deed should connect title, payment and possession.

Before the appointment, review the final deed, payment accounts, currency, deadlines, mortgage split, possession date, equipment list, energy certificate and any power-of-attorney wording. If a party does not understand Polish, coordinate the language solution required by the notary in advance.

The handover protocol should record keys, meters, condition, documents and any remaining items. Decide whether handover happens at signing or only after the agreed funds are credited, and write the sequence into the transaction documents.

Legal form

Article 158 of the Polish Civil Code requires the contract transferring ownership of real estate to be concluded as a notarial deed. A reservation email or ordinary written contract does not itself transfer ownership.

08 · Sale proceeds

Plan the money route before the deed is final.

Provide an account that can receive the agreed currency and verify the beneficiary name, IBAN or local format, SWIFT details and any intermediary-bank requirements. If the price is divided between a mortgage lender and the seller, every account and amount must match the deed and bank instructions.

Banks can request documents explaining the transaction and source of funds. Keep the acquisition deed, sale deed, payment evidence, mortgage repayment confirmation and tax records. A transfer abroad does not erase Polish tax obligations, and the seller’s country of tax residence may also require reporting under the applicable double-tax treaty.

Currency risk

If the sale price is in PLN but the owner ultimately needs another currency, decide who converts, when the conversion happens and how exchange-rate and transfer fees affect the net proceeds.

09 · Seller tax

The five-year rule is simple only after the dates are correct.

Tax depends on acquisition history, ownership structure, residency and whether the sale is private or connected with business activity.

For a private sale outside business activity, Poland generally taxes a disposal completed before five years have passed, counted from the end of the calendar year in which the property was acquired or built. A sale after that period is generally outside this PIT charge and does not require PIT‑39 on that basis.

Sale within the period

File PIT‑39 from 15 February to 30 April of the following year, even if the calculation produces a loss. The rate is 19% of taxable income, not automatically 19% of the sale price.

Own-housing relief

Eligible income can be exempt in full or in part when sale revenue is spent on qualifying own-housing purposes within three years from the end of the sale year and the statutory conditions are met.

For inherited property, the five-year period is generally counted from the end of the year in which the deceased acquired or built it. Documented acquisition costs and qualifying improvements can affect taxable income. A non-resident is generally subject to Polish tax on income from Polish real estate, subject to the applicable double-tax treaty and any reporting required in the country of residence.

Do this before fixing the net-proceeds plan if the property was inherited or gifted, owned jointly, used in a business, rented with VAT implications, depreciated, held through a company, or if the seller changed tax residence.

Does a foreign owner need permission to sell property in Poland?

There is normally no separate MSWiA permission simply because the registered seller is foreign. The permit system concerns acquisition by foreigners. The notary must still verify the title, seller’s authority and whether the intended buyer needs any acquisition permission.

Can I sell without travelling to Poland?

Often yes, through a properly drafted notarial power of attorney. Have the Polish notary approve the wording and confirm the foreign notarisation, apostille or legalisation, translation and original-document requirements before signing abroad.

Can I sell an apartment that still has a mortgage?

Yes. Obtain current bank documents showing the repayment amount, account and conditions for issuing consent to delete the mortgage. The deed and price-payment route must follow those instructions.

Is an energy performance certificate required?

For a sale of a building or part of a building, including an apartment, the seller generally provides the applicable certificate to the buyer. The notary records delivery and warns about the statutory fine if it is not delivered. Check any statutory exception against the exact property.

The parties can agree a receiving account that works with the notary, buyer’s financing and any mortgage repayment. Confirm the bank’s currency and documentary requirements in advance and retain the complete transaction trail.

Who pays the notary and agency fees?

Cost allocation should be stated in the agreement. Market custom is not a substitute for clear wording, particularly where translation, powers of attorney, mortgage documents or international banking add seller-side costs.

Does the notarial deed settle my tax automatically?

No. The deed documents the transfer, but it does not replace the seller’s PIT review or PIT‑39 when required. A home-country declaration may also apply under the relevant tax-residency and treaty rules.
